Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Taksi, Inc. (“Taksi,” “we,” “us”) governing your access to and use of the Taksi mobile app, websites, and related services (together, the “Platform”). By creating an account, tapping “I agree,” or using the Platform, you accept these Terms. If you do not agree, do not use the Platform.

1. What Taksi is (and isn't)

Taksi is a technology platform that connects independent riders with independent drivers who wish to offer rides. Taksi is not a transportation carrier, taxi service, or common carrier, and does not provide transportation. Drivers are independent contractors, not employees, agents, partners, or joint venturers of Taksi.

Taksi is currently offered as a beta/test service. Features, pricing, and availability may change, pause, or end at any time.

2. Eligibility

You must be at least 18 years old and able to form a binding contract.
You must provide accurate registration information and keep it current.
Drivers must hold a valid driver's license, registration, and insurance meeting applicable law, and a vehicle in safe operating condition, and must pass any verification we require.
You may not use the Platform if previously removed or if doing so would violate any law.

3. Your account

You are responsible for activity under your account and for keeping your login secure. One account per person. Notify us promptly of any unauthorized use. We may verify your identity and information through third-party services.

4. Rider terms

Request rides only for lawful purposes and treat drivers with respect.
You are responsible for any items you bring, for any damage you cause to a vehicle, and for accurate pickup/drop-off information.
No illegal items, weapons, or hazardous materials, and no more passengers than seatbelts.

5. Driver terms

You operate as an independent contractor and decide whether, when, and where to drive.
You must comply with all traffic, licensing, insurance, and local transportation laws and maintain your vehicle.
You must obtain and maintain your own commercial auto insurance covering your vehicle and driving activity, at the levels required by applicable law, for the entire time you are available on or using the Platform. You are solely responsible for your insurance coverage, premiums, and any claims involving your vehicle.
You are solely responsible for your taxes and for any business licenses or permits required where you operate.
Nothing in these Terms creates an employment relationship, and Taksi does not control the manner or means of your driving.

6. Fares, payments, and tips

Fares are calculated from factors such as base fare, distance, and time, plus applicable tolls, fees, and taxes. You authorize Taksi and its payment processor to charge your payment method for completed rides, tips, tolls, applicable fees, and amounts for damage or cleaning.

Payments are processed by our third-party processor (currently Stripe). Taksi does not store full card numbers.
Drivers on Taksi are independent transportation providers (carriers) who set their own rates and operate under their own licenses and insurance. Taksi is a marketplace that connects riders with these independent drivers; it is not a transportation provider.
Drivers keep 100% of their fare and 100% of tips. Taksi charges riders a separate flat platform fee for use of the marketplace — Taksi does not take a percentage of any driver's fare.
Tips are voluntary and entirely at the rider's discretion.
Except where required by law, payments are non-refundable. We may issue credits or adjustments at our discretion.

7. Cancellations and no-shows

Either party may cancel before a trip begins. A cancellation or no-show fee may apply to compensate a driver for time and travel. Repeated cancellations may lead to temporary limits on your account.

8. Ratings, reviews, and reputation

Riders and drivers may rate and review each other. Reviews must be honest and lawful. Ratings and reputation signals (such as tipping or cancellation history) may affect your access to features. We may remove content that violates these Terms.

9. Prohibited conduct

No harassment, discrimination, threats, violence, or unlawful behavior.
No fraud, fake accounts, manipulation of fares, ratings, or referrals, or interference with the Platform.
No scraping, reverse engineering, or attempts to bypass security or verification.
No use of the Platform while impaired or in a manner that endangers others.

10. Safety

The Platform may include safety features, but it is not a substitute for emergency services. In an emergency, call 911. You ride and drive at your own risk and are responsible for your own conduct and decisions.

11. Your content

You retain ownership of content you submit (such as photos, reviews, and messages). You grant Taksi a worldwide, non-exclusive, royalty-free license to host, use, display, and distribute that content to operate and improve the Platform. You are responsible for the content you submit.

12. Intellectual property

The Platform, including its software, design, and trademarks, is owned by Taksi or its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. All rights not granted are reserved.

13. Third-party services

The Platform relies on third-party services (for example, payments, authentication, maps, and messaging). Your use of those services may be subject to their own terms, and we are not responsible for them.

14. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TAKSI DOES NOT GUARANTEE THE QUALITY, SAFETY, OR CONDUCT OF ANY RIDER OR DRIVER, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

Taksi may screen drivers through identity, background, and driving-record checks as a condition of marketplace access. This screening is a gatekeeping function only — it is not a guarantee of a driver's ongoing conduct, skill, or fitness to drive, and Taksi does not continuously monitor drivers once approved. Taksi does not own, lease, operate, maintain, or insure any vehicle used on the Platform, and is not a co-insured or named party on any driver's insurance policy.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TAKSI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM. TAKSI'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TAKSI IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

TO THE FULLEST EXTENT PERMITTED BY LAW, TAKSI IS NOT LIABLE FOR INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM A MOTOR VEHICLE ACCIDENT, COLLISION, OR OTHER INCIDENT INVOLVING A DRIVER'S OPERATION OF THEIR OWN VEHICLE. RESPONSIBILITY FOR SUCH INCIDENTS RESTS WITH THE INDEPENDENT DRIVER AND THEIR INSURER, CONSISTENT WITH THEIR STATUS AS AN INDEPENDENT CARRIER UNDER SECTION 6.

16. Indemnification

You agree to defend, indemnify, and hold harmless Taksi and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, your interactions with other users, or your violation of these Terms or any law.

17. Dispute resolution and arbitration

Please read this section carefully — it affects your rights. Except for small-claims matters and requests for injunctive relief, you and Taksi agree to resolve disputes through binding individual arbitration administered under the rules of a recognized arbitration provider, and not in court. You and Taksi waive any right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@taksi.to.

18. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to the arbitration section, the state and federal courts located in California will have exclusive jurisdiction.

19. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or to protect the Platform or its users. Sections that by their nature should survive termination will survive.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform. Your continued use after changes take effect means you accept the updated Terms.
